Board of Directors Position Descriptions
Introduction
The purpose of these position descriptions is to clearly define for current and prospective Board members the responsibilities and expectations for each Board position within the Chapter. The Board directly affects how successful the Chapter is in performing the mission of the Chapter. Candidates for these positions should be willing to accept and carry out these responsibilities.
These position descriptions represent guidance and should not be considered to be a limitation on adapting the functions performed by Board members to meet the needs of the Chapter as they arise. For this reason, these position descriptions are not part of the Chapter Bylaws and can be amended at any time (with the exception of a change that would be in conflict with the Chapter Bylaws) by a majority vote of the Board members.
The Chapter's Board of Directors (BoD) consists of the Chapter Officers (i.e., President, Vice President, Secretary/Historian, and Treasurer), the Chapter Directors (i.e., College/University Director, Community Outreach Director, Cyber Leaders’ Forum Director, Digital Marketing Director, Membership Director, Mentorship Program Director, Professional Development Director, Program Director, Social Media Director and Vendor Relations Director) and the Advisor to the Board (non-voting member). All past Chapter Presidents not holding a current office and retaining active membership shall be privileged to attend Chapter Board of Directors meetings to act in an advisory capacity without voting privileges. Board members are expected to attend all Board, Chapter and Special meetings of the Chapter.

Chapter Officers
President
The President shall be the executive officer of the Chapter and subject to the control of the Board shall be responsible for the general supervision, direction, and control of the affairs of the Chapter. The President shall have the deciding vote in case of a tied decision.

Coordinate with the Board to set the agenda for all Board and Chapter meetings

Schedule and chair all Board and Chapter meetings

Coordinate with the Board to keep the membership informed of the business of the Chapter and non-Chapter events of interest

Survey the membership to identify the needs of the Chapter

Coordinate with the Board to create and execute an action plan to meet the needs and the mission of the Chapter

Coordinate with the Board to promote the Chapter and ISSA and to recruit new members

Develop and maintain contact with professional associations that have a similar or complementary mission (e.g., InfraGard, ISACA, et cetera)

Appoint Committee Advisors subject to the approval of the Chapter Board

Schedule, attend and chair all Special meetings deemed necessary for the benefit of the Chapter

Participate in the ISSA Chapter Presidents’ Meetings

Forward any correspondence received to the appropriate Board member for action

Maintain Chapter records associated with the Chapter President and pass these records on to the next Chapter President
Vice President
The Vice President shall attend to the duties of the President in his/her absence or in case the President's office may become vacant for any cause whatever and shall attend to any other duties as the President may require.

As per Article VII, Section 5 of the Chapter Bylaws, perform an audit of the Chapter financial records and report the results of the financial audit to the membership at the first regularly scheduled General Membership Meeting of the year

With the assistance of the Treasurer, prepare a Tax Information report

Perform quarterly meetings with Board Assistants to receive feedback, ensure that they are effective in performing their duties, and to resolve any issues that they might be having

Take the minutes of all Board, Chapter and Special meetings in the absence of the Secretary/Historian

Purchase and bring to Board, Chapter, and Special meetings any plaques or other gifts to be presented
Secretary / Historian
The Secretary/Historian shall record and keep minutes of all meetings, transmit and respond to all correspondence of the Chapter, and shall maintain the official records including the history of the Chapter. The Secretary/Historian shall keep a copy of the current Bylaws, which shall be available for inspection by the members at reasonable times.

Treasurer
The Treasurer shall be the custodian of the Chapter funds and shall keep an itemized account of all receipts and expenditures. The Treasurer shall supervise the collection of all funds to ensure that sound accounting practices are followed. At no time shall Chapter funds be merged with personal funds. The records of the Treasurer shall be available for inspection by members at reasonable times. The processes and procedures of the Treasurer shall at all times comply with the Chapter Bylaws and Operating Rules.

Provide information required to perform an audit of the Chapter financial records to the Vice President as per Article VII, Section 5 of the Chapter Bylaws

With the assistance of the Board, prepare an annual pro-forma income statement

Upon the completion of the fiscal year prepare a final Profit & Loss statement and balance sheet

Notify the Board of all checks returned for non-sufficient funds and any fees associated with their collection

Complete change of authorized signature documents at Bank as directed by the Board

If a Post Office box is utilized, pay renewal for Post Office box

If a Post Office box is utilized, notify the Post Office whenever necessary of changes in persons authorized to pickup mail

If a Post Office box is utilized, collect mail from the Post Office box

Maintain Chapter records associated with the Chapter Treasurer and pass these records on to the next Chapter Treasurer
Chapter Directors
College/University Director
Purpose
The College/University Director serves on the Board of Directors to strengthen relationships between the Alamo Chapter of ISSA and local colleges and universities. This role focuses on building partnerships with faculty, program directors, and cybersecurity instructors, and organizations while engaging students to participate in professional development, networking, and chapter activities. The Director promotes ISSA membership as a pathway for students to connect with the professional cybersecurity community.
Key Responsibilities

Outreach & Relationship Building

Establish and maintain strong connections with cybersecurity program leaders, instructors, and administrators at local colleges and universities.

Act as the primary liaison between the chapter and academic institutions.

Student Engagement

Promote ISSA membership opportunities and encourage student participation in chapter meetings, events, and competitions.

Develop and oversee initiatives that support student involvement, such as mentorship programs, campus visits, guest speakers, and student chapter formation.

Program Development

Collaborate with academic institutions to identify opportunities for joint events, workshops, and educational activities that align with the chapter’s mission.

Partner with the Programs and Membership Directors to design student-focused sessions at monthly meetings and annual events.

Advocacy & Promotion

Represent the Alamo Chapter at campus career fairs, cybersecurity events, and academic panels.

Promote the chapter as a resource for career development, internships, and networking for students entering the cybersecurity field.

Reporting & Governance

Provide regular updates to the Board on outreach activities, student engagement metrics, and opportunities for collaboration.

Assist in developing policies and strategies to sustain and grow student involvement in the chapter.

Demonstrated interest in cybersecurity workforce development and higher education engagement.

Experience in academic outreach, mentoring, or professional development programs preferred.

Community Outreach Director
The Community Outreach Director shall coordinate activities that serve the communities within the boundaries of the Chapter through education, service projects, and similar events. The Director should determine the specific outreach opportunities that the membership of the Chapter can best service, gain approval of the Board, encourage member participation, assist in media awareness of the role of ISSA in such activities, and report back to the Board and membership the positive impact of such activities.

Event Coordination: Plan, organize, and execute community events, workshops, presentations, and other activities to promote the organization.

Communications: Manage internal and external communications, including creating and distributing promotional materials, newsletters, and social media content.

Data & Reporting: Track outreach activities, manage contact databases, and report on the effectiveness of outreach strategies and campaigns.

Cyber Leaders’ Forum Director
Monthly

Bring a select set of security professionals together to discuss cybersecurity concerns and issues openly

Report to the Board and to the Chapter information received from Cyber Leaders following forum rules and as appropriate on emerging cyber security trends that will impact the cyber industry and outcomes, solutions, and best practices in order to improve the security posture of the cyber community

Enhance and broaden cyber networks within the local cyber community

Maintain Chapter records associated with the Cyber Leaders’ Forum Director and pass these records on to the next Cyber Leaders’ Forum Director
Digital Marketing Director
Summary
The Digital Marketing Director leads the Chapter’s overall digital strategy i.e., managing email campaigns, website content, analytics, scheduling, registration platforms, and integrations between platforms (e.g., Eventbrite, Google Forms, LinkedIn events, etc.). This role is strategic and execution-focused, helping ensure consistency, reach, and strong analytics reporting across all initiatives.

Professional Development Director

Create, print, duplicate and bring Continuing Professional Education (CPE) receipts including the presenter and topic to the Chapter meeting for distribution to attendees

Following the Chapter meeting, receive attendance and professional certification information for persons who attended from the Program Director and submit CPE credits awarded for attendance to the accreditation authorities on behalf of those persons
Annually

At the direction of the Board, serve as the Chapter liaison and pointofcontact to information security conferences and seminars sponsored by the Chapter (e.g., the Texas Regional Infrastructure Security Conference)

As directed by the Board, develop, promote and manage a program to provide training to Chapter members seeking professional certifications, (e.g., Certified Information Systems Security Professional)

As directed by the Board, develop, promote and manage a program to provide scholarships to area college and university students meeting the scholarship program requirements

Program Director

Responsible for managing the logistics of all Chapter meetings and seminars to include identifying and procuring a location that meets the needs of the event (i.e., size, A/V requirements, et cetera), arranging for food and beverages as appropriate for the event, collecting RSVP information for the event, providing a final reservation number to the event facility operator, coordinating door prizes, et cetera

Identify and schedule qualified speakers for future Chapter Meetings in accordance with the needs and the Mission of the Chapter

Provide event speaker topic summaries and biographies to the Digital Marketing Director

This is a front-facing, brand ambassador role focused on cultivating community connection, professional polish, and real-time engagement at Chapter events.
